取締役会等の事務局、株主総会の企画・運営、コーポレート・ガバナンス関連の施策の立案・実施、各種開示業務、機関投資家との対話等のSR業務全般の企画・実施をご担当いただきます。 【業務詳細】 ■取締役会関連業務 取締役会の企画・運営と、社外取締役との連携強化を担います ・取締役会事務局 ・社外役員の支援 ・役員人事や役員報酬設計の支援 ■株主総会関連業務 株主総会に関わる案件の企画、各種法定書類の作成を中心に、運営に携わります ・株主総会議案の企画・立案 ・株主総会招集通知等の関連開示書類の作成 ・議長支援 ・想定問答の編集・運用 ・会場設営・総会運営 ■開示書類作成・コーポレート・ガバナンス関連業務 コーポレート・ガバナンスに関する各種施策の立案・実現・支援を行うとともに、 透明性の高い開示によりステークホルダーとの信頼関係を構築します ・法定開示・制度開示・適時開示書類等の各種株主向け資料の作成および開示 ・ステークホルダーに向けた当社コーポレート・ガバナンスへの取組みの開示内容作成 （株主総会議案、コーポレート・ガバナンスに関する報告書、有価証券報告書等） ・コーポレート・ガバナンス関連の施策の立案・実施 （コーポレートガバナンス・コードの原則に関する事項等） ・サステナビリティやリスク管理に関する開示内容作成 ・株式事務等 ■SR（シェアホルダーリレーションズ）関連業務 機関投資家と経営陣との対話に同席し、意見交換を通じて経営への理解促進と、企業価値向上の実現を図ります ・国内外の機関投資家との対話 ・SR業務全般（面談スケジュール調整、情報収集等）Company Info
