Job Summary
【ミッション】 世界初のアンモニア合成技術を核とする当社のグローバル事業を加速するため、事業法務の中核人材として契約実務と対外対応をリードする。EPCをはじめとする各種取引契約の戦略設計からドラフト、交渉、クロージング、運用までを一貫して担い、スピードと品質を両立する実務基盤を構築・運用する。 【担当領域】 ①事業法務（主領域） ・EPC関連契約：Engineering、EP（&S）、EPC、EPCM、（必要に応じ FIDICベース等） ・業務委託契約（国内外の設計・調達・建設・研究開発・コンサル等） ・秘密保持契約（相互/片務、個社・包括、グローバル対応） ・知財関連契約（ライセンス、共同研究・共同開発、技術供与、ノウハウ取扱） ・国内外の顧客との取引契約：機器販売、触媒販売、機器レンタル等の各種売買・役務・レンタル条件 ②コーポレート法務（副領域） ・主要社内規程・ポリシーの整備・更新、基本ガバナンスの運用補助 ・必要に応じたコンプライアンス助言（輸出管理、制裁、データ保護 等の初期評価） 【具体的な業務内容】 ①契約実務と対外対応のリード ・上記対象契約の原案設計・レビュー・修正案（赤入れ）作成、リスク評価と提案 ・交渉戦略の立案、相手方との条項協議・条件整理・合意形成の主導、署名までのクロージング管理 ・案件に応じ、外部弁護士との連記・協働による最終助言・対外文書の品質担保 ②社内ハブ／ガバナンス ・事業・技術・調達・情報セキュリティ・ファイナンス等の要件定義、承認・稟議プロセスの運用 ・リスク受容ラインの明確化、論点・Fallbackの提示、意思決定のファシリテーション ③オペレーション構築・改善 ・テンプレート／プレイブック整備、版管理・チェックリスト・KPI設計 ・リーガルテック/AIの活用による効率化、ナレッジ蓄積と社内教育 ・定型類型（例：NDA）は権限委譲により単独判断・即応Company Info
